Version 2.2 - Last updated: 29 September 2026
1. Definitions
- TrompTech: the sole proprietorship TrompTech, established in Breda, Chamber of Commerce (KvK) number 96345381.
- Client: the natural or legal person who gives TrompTech an assignment.
- Agreement: any agreement between TrompTech and Client confirmed in writing or digitally.
- Services: web design, web development, custom software, the TrompTech Layer, AI integrations, maintenance, hosting and related services.
2. Applicability
These terms and conditions apply to all offers, quotations and agreements of TrompTech. Deviations are only valid if agreed in writing. The applicability of purchasing or other terms and conditions of Client is expressly rejected.
TrompTech offers the TrompTech Layer and the Website per month only to business clients. For consumers, Article 14 also applies.
3. Quotations and Formation of the Agreement
All quotations are without obligation and valid for 30 days, unless stated otherwise. An agreement is formed upon acceptance by Client in writing or digitally, or when TrompTech starts the work after confirmation.
TrompTech reserves the right to refuse an assignment without stating reasons.
Anyone who enters into an agreement on behalf of a business, for example by taking out a subscription online, declares that they are authorised to do so. If that authority proves to be lacking, the signatory is personally liable for this (Article 3:70 of the Dutch Civil Code). For this reason, with an online sign-up TrompTech records the name, position, email address, time and IP address of the applicant, and checks the Chamber of Commerce number provided in the Trade Register and the name of the account holder at the first payment.
4. Performance of the Assignment
TrompTech performs the assignment to the best of its knowledge and ability. All obligations of TrompTech are best-efforts obligations, unless an obligation to achieve a specific result has been expressly agreed in writing.
Client ensures the timely provision of all necessary information, materials and authorisations. Delay caused by failure to do so is at Client's risk.
5. Rates and Invoicing
5.1 Rates
- Project work: in accordance with the approved quotation.
- Custom work by the hour: €125 per hour (excl. VAT), unless agreed otherwise.
- Monthly subscriptions: in accordance with the rate applicable at the time of commencement.
All prices stated are exclusive of VAT (21%), unless stated otherwise.
5.2 Payment term and debt collection
Payment must be made within 14 days of the invoice date, unless agreed otherwise. If the payment term is exceeded, Client is in default by operation of law and owes the statutory commercial interest (Article 6:119a of the Dutch Civil Code).
In the event of extrajudicial collection, the reasonable collection costs are borne by Client, in accordance with the Dutch Extrajudicial Collection Costs (Compensation) Decree, with a minimum of €40.
5.3 Direct debit, chargeback and suspension
Ongoing services are charged monthly in advance. Client pays the first month via iDEAL; in doing so, Client grants a mandate for the direct debit (SEPA) of the following months.
If a direct debit is reversed or cannot be executed, the amount remains due. A chargeback does not terminate the agreement. In that case TrompTech sends a payment link. If the amount has not been paid 14 days after the reminder, TrompTech may suspend the services until payment has been made in full, and then terminate the agreement. Article 5.2 on default, interest and collection costs applies. After repeated chargebacks, TrompTech may require Client to pay in advance by payment link or bank transfer.
5.4 Price changes
TrompTech reserves the right to adjust subscription rates annually in line with the consumer price index of Statistics Netherlands (CBS). In the event of a price increase of more than 10%, Client has the right to terminate the agreement with effect from the date on which the new price takes effect, provided notice is given in writing within 30 days of the notification.
6. Intellectual Property
After full payment, TrompTech transfers the rights of use to the custom software developed specifically for Client. For a Website per month, the rights of use to the website transfer as set out in Article 11a. Generic frameworks, reusable components, tooling and methods remain the property of TrompTech and are covered by a non-exclusive licence of use.
Client guarantees that materials supplied by Client (texts, images, logos) do not infringe the rights of third parties and indemnifies TrompTech against claims by third parties in this respect.
7. Hosting and Availability
For the TrompTech Layer and for hosting, the agreements on availability, measurement, maintenance, backups, support and service credits in Service & availability apply. Service credits are the compensation for unavailability of the service. TrompTech is not liable for interruptions of services that Client connects itself, of the AI provider or of logging in via Supabase. Planned maintenance is announced in advance as set out in those agreements.
8. Confidentiality
Both parties undertake to keep confidential any confidential information they receive from each other in the context of the agreement. This obligation continues to apply after termination of the agreement, for a period of 3 years.
9. Liability
The total liability of TrompTech for an attributable failure is limited to compensation for direct damage, up to at most the amount invoiced for the assignment concerned in the past 12 months (excl. VAT), with a maximum of €10,000. Service credits under Service & availability are set off against this.
TrompTech is never liable for indirect damage, consequential damage, lost profits, missed savings or damage due to business interruption.
Liability lapses if Client has not given TrompTech written notice of default within 30 days of discovering the damage.
10. Force Majeure
TrompTech is not obliged to fulfil any obligation if this is the result of force majeure. Force majeure means: power failure, internet outages at providers, cyber attacks, outages at essential third parties that TrompTech cannot prevent (such as Supabase, Mollie and the AI provider), illness or other circumstances beyond the reasonable control of TrompTech.
If force majeure lasts longer than 60 days, either party has the right to dissolve the agreement in writing.
11. Notice and Termination
Ongoing subscriptions and maintenance contracts can be cancelled monthly with a notice period of 30 days. Notice must be given in writing by email to info@tromptech.nl. For a Website per month, the minimum term and the buyout under Article 11a apply.
TrompTech has the right to dissolve the agreement with immediate effect if Client fails to meet its payment obligations and remains in default after notice of default, or in the event of a suspension of payments or bankruptcy.
11a. Website per month
With a Website per month, Client pays no build price in advance. The monthly amount covers the build, hosting and the changes as stated at the time of commencement on the Websites page (tromptech.nl/websites), and is collected monthly in advance by direct debit as set out in Article 5.3. This offer applies only to business clients.
The minimum term is 12 months from the launch of the website. Cancelling to an earlier date is not possible. After that, the agreement can be cancelled monthly with a notice period of 30 days, as set out in Article 11.
If the agreement ends before the end of the 24th paid month, Client pays the part of the build price that is still outstanding: the one-off price of the package at the time of commencement, multiplied by the number of months remaining until 24, divided by 24. Example: for a Website of €1,495 and an end after 12 paid months, that is €747.50.
After that buyout, or after 24 paid months, the rights of use to the website transfer as set out in Article 6. After that, only the subscription belonging to the package (Hosting or All-in) continues, at the rate then applicable. That subscription can be cancelled monthly.
As long as the buyout has not been paid, the design and code of the website remain the property of TrompTech. Client keeps its domain name and receives its texts and images at the end of the agreement.
12. Complaints Procedure
Complaints about the performance of the assignment must be reported to TrompTech in writing within 14 days of discovery, but no later than 30 days after delivery. We aim to resolve complaints within 14 working days.
13. Privacy and Data Processing
TrompTech processes personal data in accordance with the General Data Protection Regulation (GDPR). See our Privacy statement for details. If TrompTech processes personal data on behalf of Client, such as in the TrompTech Layer or with hosting, the data processing agreement applies; the sub-processors are listed on /en/sub-processors.
14. Consumers: right of withdrawal
These terms and conditions are written for business clients. If you, as a consumer (a natural person who is not acting in the course of a trade or business), conclude a distance contract with us, you have the statutory right to withdraw from it within 14 days without giving any reason. That period starts on the day after the contract is concluded.
You can withdraw by means of an unequivocal statement by email to info@tromptech.nl. You may use the European model withdrawal form for this, but you do not have to. We refund amounts already paid within 14 days.
If you want us to start the work within those 14 days, we ask you to request this expressly. You then retain the right to withdraw, but you owe compensation for the part that has already been performed at that moment. If the service has been fully performed at your request within the period, the right of withdrawal lapses; we confirm this in writing in advance.
The right of withdrawal does not apply to goods made to your specifications or clearly personalised for you, such as a domain name registration in your name (Article 6:230p of the Dutch Civil Code).
15. Applicable Law and Disputes
All legal relationships are governed exclusively by Dutch law. Disputes are submitted exclusively to the competent court in the district of Zeeland-West-Brabant (Breda), unless the parties agree to use mediation or arbitration.
Notwithstanding the above, TrompTech has the right to submit claims for payment to the court of Client's place of residence.
